1,000+ Clauses: The Complete Guide to Pactum’s Clause Library
June 2026 · 7 min read · By Evans Selasi Adika
From indemnification to force majeure to governing law — every standard clause a contract needs, with AI guidance on what it does, when to use it, and what to watch out for. Here is how to use the library to draft faster and better.
What the Clause Library Is
Pactum’s clause library contains over 1,000 standard contract clauses organised into 10 categories. Every clause includes AI guidance — a plain-English explanation of what the clause does, when to use it, common pitfalls, and negotiation tips.
These are not templates. They are individual clauses that you can insert into any contract, in any combination, in any order. Think of them as building blocks. Each block is independent. Each block comes with instructions.
The 10 Categories
| Category | Examples |
| Preliminary | Definitions, Recitals, Interpretation |
| Operative Terms | Scope, Term, Payment, Delivery, Price Adjustment |
| Risk Allocation | Indemnification, Limitation of Liability, Insurance, Warranties |

| Confidentiality | Non-Disclosure, Data Protection, Return of Information |
| Termination | For Cause, For Convenience, Effects of Termination |
| Dispute Resolution | Governing Law, Arbitration, Mediation, Jurisdiction |
| Boilerplate | Force Majeure, Notices, Assignment, Severability, Entire Agreement |
| Compliance | Anti-Corruption, Sanctions, Export Control |
| Restrictive Covenants | Non-Compete, Non-Solicitation |
How the AI Guidance Works
Click any clause name to expand its AI guidance panel. The guidance covers:
What it does: A plain-English explanation of the clause’s purpose and legal effect.
When to use it: Which types of contracts and which situations call for this clause.
What to watch out for: Common pitfalls, negotiation traps, and drafting errors.
Negotiation tips: How to negotiate this clause from both sides — what to push for, what to concede, what to never accept.
How to Use It
Step 1: Click “Clauses” in the topbar. The library opens with a search bar.
Step 2: Browse by category or search by keyword. Type “indemnification” and it jumps to the right clause. Type “FCPA” and it finds the Anti-Corruption clause.
Step 3: Read the AI guidance. Understand the clause before you insert it.
Step 4: Click the + button. The clause text inserts at your cursor position in the contract.
Step 5: Customise. Replace placeholders with your specific terms. The clause is now part of your contract.
Why This Matters
Every clause in the library is jurisdiction-neutral. A lawyer in Accra, New York, London, or Singapore needs the same standard clauses.
The library makes Pactum a global product from day one — no regulatory corpus required.
